Terms of Service for Aurah

Effective Date: September 1, 2026

These Terms of Service (“Terms”) form a legally binding agreement between you and Cosmo Labs Inc. (“Aurah,” “we,” “us,” or “our”) governing your access to and use of the Aurah mobile application, websites, software, APIs, and related services (collectively, the “Service”).

By accessing or using the Service, you agree to be bound by these Terms and our Privacy Policy (available in the App under Legal → Privacy Policy, and at https://aurah.xyz/privacy-policy/). If the in-App Privacy Policy and the website copy differ, the in-App version controls unless applicable law requires otherwise. If you do not agree to these Terms, you must discontinue use of the Service immediately.

We may update these Terms from time to time. If material changes are made, we will provide reasonable notice through the Service or other appropriate means. Your continued use of the Service after changes become effective constitutes acceptance of the updated Terms, unless applicable law requires a different process.

1. Eligibility

You must be at least 13 years old, or the minimum age required in your jurisdiction (if higher), to use the Service.

AI features (including chat, live voice, wellness-related AI, OCR, and similar) are offered to eligible users 13+, subject to age verification and safety settings described in the Privacy Policy and in the App.

If you are under the age of majority in your jurisdiction, you may only use the Service with the consent of a parent or legal guardian where required by applicable law.

You must not use the Service if you are prohibited from doing so under applicable law.

2. License to Use the Service

Subject to these Terms, Aurah grants you a limited, personal, non-exclusive, non-transferable, revocable license to access and use the Service for personal, non-commercial purposes (or as otherwise permitted in writing by us).

You agree not to:

Copy, reproduce, modify, distribute, sell, lease, or exploit any part of the Service
Reverse engineer, decompile, or attempt to extract the source code of the Service, except where applicable law prohibits this restriction
Use the Service to develop, train, or improve competing products or services
Interfere with, disrupt, or compromise the integrity or security of the Service

All rights not expressly granted to you are reserved by Cosmo Labs Inc.

3. Description of the Service

Aurah is an AI-powered productivity, study, and wellness platform that may include features such as:

AI chat and voice assistance
Study tools, including notes, flashcards, OCR-related workflows, and scheduling features
Wellness features, including journaling, mood tracking, and guided prompts (not clinical care)
Social and communication features (subject to age-based rules described in the Privacy Policy and App)
Maps or location-aware discovery if you enable location
Optional paid subscriptions or in-app purchases through the Apple App Store or Google Play

Aurah does not currently display third-party advertising (including Google AdMob or in-feed ad banners).

Aurah AI is software—not a human friend, companion, therapist, doctor, or emergency service. For emergencies, contact local emergency services. For ongoing health or mental health needs, consult a qualified professional.

Features may be modified, added, suspended, or removed at any time. Some features depend on third-party services (for example AI providers, maps, sign-in, analytics, and crash reporting). Their terms and policies apply to your use of their services.

4. AI Features and Important Limitations

4.1 Nature of AI Systems

The Service uses artificial intelligence systems that generate automated outputs. AI-generated responses may be inaccurate, incomplete, misleading, or unsuitable for certain purposes.

4.2 No Professional Advice

Aurah does not provide medical, mental health, legal, financial, or professional advice.

All content and AI-generated responses are provided for informational, educational, and general wellness purposes only and should not be relied upon as a substitute for qualified professional advice.

4.3 Prohibited High-Risk Use

You agree not to use the Service for high-risk activities where errors or inaccuracies could result in harm, including but not limited to:

Medical or mental health diagnosis or treatment
Emergency or crisis response situations
Legal or financial decision-making
Safety-critical environments or operations

4.4 User Responsibility

You are solely responsible for evaluating and verifying any information obtained through the Service before relying on it.

4.5 AI Disclaimer

To the maximum extent permitted by law, AI-generated outputs are provided on an “as is” and “as available” basis without warranties of any kind. Your use of AI features is entirely at your own risk.

5. User Accounts

You are responsible for:

Providing accurate and current information
Maintaining the confidentiality and security of your account credentials
All activity occurring under your account

Notify us promptly at info@aurah.xyz if you suspect unauthorized access.

You may delete your account through in-app settings where we offer that option, subject to the Privacy Policy.

We reserve the right to suspend, restrict, or terminate accounts where reasonably necessary to protect users, enforce these Terms, or maintain the integrity and security of the Service.

6. User Content

You retain ownership of content you submit, upload, or create through the Service (“User Content”).

By submitting User Content, you grant Aurah a worldwide, non-exclusive, royalty-free license to host, store, reproduce, process, modify, display, perform, distribute, and create derivative works from such content solely as needed to operate, maintain, improve, secure, promote, and provide the Service, and to enforce these Terms—consistent with our Privacy Policy.

You are solely responsible for your User Content and the consequences of sharing or publishing it. You represent that you have all rights necessary to grant the above license and that your User Content does not violate these Terms or third-party rights.

Our Privacy Policy describes how AI processing works. If the Privacy Policy and these Terms differ on a data-use point for personal information, the Privacy Policy controls to the extent required by law.

Aurah is not obligated to back up User Content; keep your own copies of important materials. We may remove or refuse to host User Content at any time.

7. Payments and Subscriptions

Parts of the Service may be available free of charge. Certain features may require payment or an active subscription.

Payments are processed through third-party platforms, including the Apple App Store and Google Play, and are subject to their respective terms and conditions. We do not control those platforms’ refund rules.

Unless canceled before renewal, subscriptions automatically renew according to the applicable billing cycle. You are responsible for managing and canceling subscriptions through the applicable platform provider.

8. Acceptable Use

We want Aurah to remain safe and supportive. You agree not to:

Harass, threaten, abuse, bully, stalk, or harm others
Upload, transmit, or distribute unlawful, harmful, sexually explicit, or infringing content
Impersonate any person or entity, or falsely suggest affiliation with Aurah
Spam, scrape, crawl, or use automated means to collect user data without our prior written permission
Attempt to bypass or compromise security systems or access controls
Upload malware or interfere with the Service’s operation
Use the Service for illegal, fraudulent, or unauthorized purposes
Use the Service primarily to advertise or divert users to external paid communities or competing services without our permission

When using camera, microphone, live voice, video, or shared media, you are responsible for what you capture and share, and you must comply with applicable recording and consent laws.

We reserve the right to remove content, suspend access, or take other appropriate action where necessary to enforce these Terms or protect the Service and its users. Our enforcement decisions are not required to follow court procedures.

9. Third-Party Services

The Service may contain integrations, links, or features provided by third parties (including Google, Apple, AI providers, maps, and analytics).

Aurah does not control and is not responsible for third-party services, content, policies, or actions. Your use of third-party services is governed by their respective terms and privacy policies.

Apple App Store and Google Play

If you download the App from the Apple App Store or Google Play:

These Terms are between you and Aurah, not with Apple or Google
Apple and Google are not responsible for the Service or its content
Apple and Google have no obligation to furnish maintenance or support for the App
Additional store-specific terms may apply
Apple Inc. may be considered a third-party beneficiary of these Terms where required by Apple’s rules

10. Disclaimers

The Service is provided on an “as is” and “as available” basis.

To the fullest extent permitted by applicable law, Cosmo Labs Inc. disclaims all warranties, express or implied, including warranties of:

Merchantability
Fitness for a particular purpose
Non-infringement
Availability, accuracy, reliability, or uninterrupted operation of the Service

We do not guarantee that the Service will be secure, error-free, or continuously available.

Wellness features (mood check-ins, tips, timers, etc.) are for general well-being only and are not medical devices and not a substitute for professional care. The Service is not a crisis hotline.

11. Limitation of Liability

To the maximum extent permitted by law:

Cosmo Labs Inc. shall not be liable for any indirect, incidental, consequential, special, exemplary, or punitive damages arising out of or related to the Service
Our total aggregate liability for any claim relating to the Service shall not exceed the greater of:
- CAD $100, or
- The total amount you paid to us for the Service during the 12 months preceding the claim

Some jurisdictions do not allow certain limitations of liability, so some limitations may not apply to you. Nothing in these Terms excludes or limits liability that cannot legally be excluded or limited.

12. Indemnification

You agree to indemnify, defend, and hold harmless Cosmo Labs Inc. and its affiliates, officers, directors, employees, and agents from and against any claims, damages, liabilities, losses, costs, or expenses arising out of or related to:

Your use of the Service
Your User Content
Your violation of these Terms
Your misuse of AI-generated outputs or reliance on AI-generated information

13. Governing Law and Disputes

These Terms are governed by and construed in accordance with the laws of the Province of Alberta and the applicable federal laws of Canada, without regard to conflict of law principles.

Except where prohibited by applicable consumer protection law, you agree that the courts located in Alberta, Canada, will have exclusive jurisdiction over any dispute arising out of or relating to these Terms or the Service, and you submit to the personal jurisdiction of those courts. If you are a consumer in the EU, UK, or another region with mandatory local jurisdiction rules, those rules may apply instead where required by law.

To the fullest extent permitted by law, disputes must be brought only in an individual capacity, not as a plaintiff or class member in any purported class or representative proceeding.

These Terms do not currently require binding arbitration. If we later adopt binding arbitration for certain disputes, we will update this section and provide notice as required by law.

14. Termination

We may suspend, restrict, or terminate your access to the Service at any time where reasonably necessary, including where:

You violate these Terms
Your use creates risk or potential legal exposure
Necessary to protect the Service, users, or third parties

Upon termination, your right to access and use the Service will immediately cease. You may stop using the Service at any time and delete your account as described in the App or Privacy Policy.

15. Intellectual Property

All rights, title, and interest in and to the Service, excluding User Content, are owned by Cosmo Labs Inc. or its licensors.

Nothing in these Terms grants you ownership rights in the Service or its intellectual property.

If you believe content on the Service infringes your copyright or other intellectual property rights, send a notice to info@aurah.xyz with enough detail for us to locate the material and assess your claim.

16. General Provisions

If any provision of these Terms is found to be unlawful, invalid, or unenforceable, the remaining provisions will remain in full force and effect.

Our failure to enforce any right or provision under these Terms does not constitute a waiver of that right or provision.

These Terms and the Privacy Policy constitute the entire agreement between you and Aurah regarding the Service.

You may not assign these Terms without our consent. We may assign these Terms in connection with a merger, acquisition, corporate reorganization, or sale of assets, with notice where required by law.
