Terms of Service for Aurah

These Terms of Service (“Terms”) form a legally binding agreement between you and Cosmo Labs Inc. (“Aurah,” “we,” “us,” or “our”) governing your access to and use of the Aurah mobile application, websites, software, APIs, and related services (collectively, the “Service”).

By accessing or using the Service, you agree to be bound by these Terms and our Privacy Policy. If you do not agree to these Terms, you must discontinue use of the Service immediately.

We may update these Terms from time to time. If material changes are made, we will provide reasonable notice through the Service or other appropriate means. Your continued use of the Service after changes become effective constitutes acceptance of the updated Terms.

1. Eligibility

You must be at least 13 years old, or the minimum age required in your jurisdiction, to use the Service.

If you are under the age of majority in your jurisdiction, you may only use the Service with the consent of a parent or legal guardian where required by applicable law.

2. License to Use the Service

Subject to these Terms, Aurah grants you a limited, personal, non-exclusive, non-transferable, revocable license to access and use the Service for personal, non-commercial purposes.

You agree not to:

Copy, reproduce, modify, distribute, sell, lease, or exploit any part of the Service
Reverse engineer, decompile, or attempt to extract the source code of the Service
Use the Service to develop, train, or improve competing products or services
Interfere with, disrupt, or compromise the integrity or security of the Service

All rights not expressly granted to you are reserved by Cosmo Labs Inc..

3. Description of the Service

Aurah is an AI-powered productivity, study, and wellness platform that may include features such as:

AI chat and voice assistance
Study tools, including notes, flashcards, and scheduling features
Wellness features, including journaling, mood tracking, and guided prompts
Social and communication features
Optional paid subscriptions and advertising-supported content

Features may be modified, added, suspended, or removed at any time without notice.

4. AI Features and Important Limitations

4.1 Nature of AI Systems

The Service uses artificial intelligence systems that generate automated outputs. AI-generated responses may be inaccurate, incomplete, misleading, or unsuitable for certain purposes.

4.2 No Professional Advice

Aurah does not provide medical, mental health, legal, financial, or professional advice.

All content and AI-generated responses are provided for informational and general wellness purposes only and should not be relied upon as a substitute for qualified professional advice.

4.3 Prohibited High-Risk Use

You agree not to use the Service for high-risk activities where errors or inaccuracies could result in harm, including but not limited to:

Medical or mental health diagnosis or treatment
Emergency or crisis response situations
Legal or financial decision-making
Safety-critical environments or operations

4.4 User Responsibility

You are solely responsible for evaluating and verifying any information obtained through the Service before relying on it.

4.5 AI Disclaimer

To the maximum extent permitted by law, AI-generated outputs are provided on an “as is” and “as available” basis without warranties of any kind.

Your use of AI features is entirely at your own risk.

5. User Accounts

You are responsible for:

Maintaining the confidentiality and security of your account credentials
All activity occurring under your account
Providing accurate and current information

We reserve the right to suspend, restrict, or terminate accounts where reasonably necessary to protect users, enforce these Terms, or maintain the integrity and security of the Service.

6. User Content

You retain ownership of content you submit, upload, or create through the Service (“User Content”).

By submitting User Content, you grant Aurah a worldwide, non-exclusive, royalty-free license to host, store, reproduce, process, and use such content solely for the purpose of operating, maintaining, improving, and providing the Service.

You are solely responsible for your User Content and the consequences of sharing or publishing it.

Aurah is not responsible or liable for User Content submitted by users.

7. Payments and Subscriptions

Certain features or services may require payment or an active subscription.

Payments are processed through third-party platforms, including the Apple App Store and Google Play, and are subject to their respective terms and conditions.

Unless canceled before renewal, subscriptions automatically renew according to the applicable billing cycle.

You are responsible for managing and canceling subscriptions through the applicable platform provider.

8. Acceptable Use

You agree not to:

Harass, threaten, abuse, or harm others
Upload, transmit, or distribute unlawful, harmful, or infringing content
Attempt to bypass or compromise security systems or access controls
Use the Service for illegal, fraudulent, or unauthorized purposes

We reserve the right to remove content, suspend access, or take other appropriate action where necessary to enforce these Terms or protect the Service and its users.

9. Third-Party Services

The Service may contain integrations, links, or features provided by third parties.

Aurah does not control and is not responsible for third-party services, content, policies, or actions. Your use of third-party services is governed by their respective terms and privacy policies.

10. Disclaimers

The Service is provided on an “as is” and “as available” basis.

To the fullest extent permitted by applicable law, Cosmo Labs Inc. disclaims all warranties, express or implied, including warranties of:

Merchantability
Fitness for a particular purpose
Non-infringement
Availability, accuracy, reliability, or uninterrupted operation of the Service

We do not guarantee that the Service will be secure, error-free, or continuously available.

11. Limitation of Liability

To the maximum extent permitted by law:

Cosmo Labs Inc. shall not be liable for any indirect, incidental, consequential, special, exemplary, or punitive damages arising out of or related to the Service
Our total aggregate liability for any claim relating to the Service shall not exceed the greater of:
- CAD $100, or
- The total amount you paid to us for the Service during the 12 months preceding the claim

Some jurisdictions do not allow certain limitations of liability, so some limitations may not apply to you.

12. Indemnification

You agree to indemnify, defend, and hold harmless Cosmo Labs Inc. and its affiliates, officers, directors, employees, and agents from and against any claims, damages, liabilities, losses, costs, or expenses arising out of or related to:

Your use of the Service
Your User Content
Your violation of these Terms
Your misuse of AI-generated outputs or reliance on AI-generated information

13. Dispute Resolution and Arbitration

13.1 Informal Resolution

Before initiating legal proceedings, you agree to first contact us and attempt to resolve disputes informally.

13.2 Binding Arbitration

Except where prohibited by applicable law, disputes arising out of or relating to these Terms or the Service shall be resolved through binding arbitration conducted in Alberta.

13.3 Class Action Waiver

You agree that disputes will be resolved individually and not as part of any class, collective, or representative proceeding.

14. Termination

We may suspend, restrict, or terminate your access to the Service at any time where reasonably necessary, including where:

You violate these Terms
Your use creates risk or potential legal exposure
Necessary to protect the Service, users, or third parties

Upon termination, your right to access and use the Service will immediately cease.

15. Intellectual Property

All rights, title, and interest in and to the Service, excluding User Content, are owned by Cosmo Labs Inc. or its licensors.

Nothing in these Terms grants you ownership rights in the Service or its intellectual property.

16. Governing Law

These Terms are governed by and construed in accordance with the laws of the Province of Alberta and the applicable federal laws of Canada, without regard to conflict of law principles.

17. Apple and Google Platform Terms

If you access the Service through:

Apple App Store: Apple Inc. is considered a third-party beneficiary of these Terms
Google Play: additional terms from Google may apply

Neither Apple nor Google is responsible for providing or supporting the Service.

18. General Provisions

If any provision of these Terms is found to be unlawful, invalid, or unenforceable, the remaining provisions will remain in full force and effect.

Our failure to enforce any right or provision under these Terms does not constitute a waiver of that right or provision.
