Terms of Service for Aurah

Agreement to these Terms

These Terms of Service (“Terms”) constitute a legally binding agreement between you and Cosmo Labs Inc. (“Aurah,” “we,” “us,” or “our”) governing your access to and use of the Aurah mobile application, any associated websites or web properties, APIs, and all related software, content, features, and services that we make available (collectively, the “Service”).

By downloading, installing, accessing, or otherwise using the Service, or by creating an account, you acknowledge that you have read, understood, and agree to be bound by these Terms, as well as our Privacy Policy. If you do not agree to these Terms, you must immediately discontinue use of the Service.

We reserve the right to modify or update these Terms at any time in our sole discretion. When we do so, we will update the Effective date above and make the revised Terms available within the Service. Your continued use of the Service following the effective date of any changes constitutes your acceptance of those changes, except where applicable law requires additional notice or consent.

1. License to Use the Service

Subject to your ongoing compliance with these Terms, Cosmo Labs Inc. grants you a limited, personal, non-exclusive, non-transferable, non-sublicensable, and revocable license to access and use the Service solely for your own personal, non-commercial purposes, unless we expressly agree otherwise in writing.

Except as expressly permitted under these Terms, you agree that you will not, directly or indirectly:

Copy, reproduce, modify, distribute, sell, lease, sublicense, or otherwise exploit any portion of the Service
Reverse engineer, decompile, disassemble, or otherwise attempt to derive the source code or underlying structure of the Service, except to the extent such restrictions are prohibited by applicable law
Use the Service, or any part of it, to develop, train, or improve any competing product or service

All rights not expressly granted to you under these Terms are reserved by Cosmo Labs Inc. and its licensors.

2. Description of the Service

Aurah is an AI-powered study, productivity, and wellness application designed to assist users with learning, organization, and general well-being through automated tools and features.

The Service may include, without limitation:

AI-generated chat and voice-based interactions
Study tools such as notes, flashcards, and scheduling systems
Wellness-related features such as mood tracking, journaling, and general well-being prompts
Social or community-based features, including content sharing, messaging, and profiles
Paid features, subscriptions, and advertising-supported experiences

You acknowledge that features may evolve, be modified, or discontinued at any time without prior notice.

3. Critical AI Disclosures and Limitations

3.1 Nature of AI Systems

The Service incorporates artificial intelligence and machine learning systems that generate outputs automatically based on patterns in data rather than human judgment. As a result, such outputs may be inaccurate, incomplete, outdated, biased, or otherwise unsuitable for your intended purpose.

3.2 No Professional Advice

You expressly acknowledge and agree that the Service does not provide medical, mental health, legal, financial, or other professional advice of any kind. Any information provided through the Service is for general informational and educational purposes only and should not be relied upon as a substitute for consultation with qualified professionals.

3.3 Prohibited High-Risk Uses

You agree that you will not use, or rely upon, the Service in any context where errors, inaccuracies, or delays could reasonably be expected to result in harm, injury, or significant liability. This includes, without limitation:

Crisis or emergency response situations

3.4 User Responsibility

You acknowledge that you are solely responsible for evaluating the accuracy, completeness, and usefulness of any information or content generated by the Service. You further agree that you will independently verify any information before relying on it in situations that may carry risk or consequence.

3.5 AI Liability Disclaimer

To the fullest extent permitted by applicable law, Cosmo Labs Inc. disclaims all liability for any decisions, actions, or outcomes arising from or related to your use of, or reliance upon, AI-generated outputs. All such outputs are provided on an “as is” and “as available” basis without warranties of any kind, whether express or implied.

3.6 Safety Notice

The Service is not intended to function as a crisis response tool or emergency service. If you are in immediate danger or experiencing a crisis, you must contact your local emergency services or a qualified professional immediately rather than relying on the Service.

4. Eligibility

To use the Service, you must be at least 13 years of age or the minimum age required by applicable law in your jurisdiction. If you are under the age of majority, you represent that you have obtained the consent of a parent or legal guardian where required.

If you are using the Service on behalf of an organization, you represent and warrant that you have the authority to bind that organization to these Terms.

5. Accounts

In order to access certain features, you may be required to create an account. You agree to provide accurate, current, and complete information and to keep such information updated.

You are solely responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You agree to notify us promptly of any unauthorized use or security breach.

We reserve the right to suspend or terminate your account at any time if we reasonably believe that you have violated these Terms or that your use of the Service poses a risk.

6. Payments and Subscriptions

Certain features of the Service may be offered for a fee, including subscriptions and in-app purchases. Pricing, billing terms, and renewal conditions will be disclosed at the time of purchase.

If you purchase through the Apple App Store or Google Play:

Payments will be processed through your respective account
Subscriptions will automatically renew unless canceled
You are responsible for managing your subscriptions through the platform

We do not control third-party billing systems and are not responsible for their policies.

7. Acceptable Use

You agree to use the Service only for lawful purposes and in a manner that does not infringe the rights of others or restrict their use of the Service.

You agree that you will not:

Harass, abuse, threaten, or harm other users
Share illegal, explicit, or harmful content
Attempt to bypass safeguards or moderation systems
Upload malicious code or interfere with the Service
Use the Service to exploit, manipulate, or harm others

We reserve the right to investigate and take appropriate action, including removing content or terminating accounts.

8. User Content

You retain ownership of any content you submit, upload, or share through the Service.

By submitting content, you grant Cosmo Labs Inc. a worldwide, non-exclusive, royalty-free license to use, reproduce, modify, display, and distribute such content solely for the purpose of operating, improving, and promoting the Service.

You represent and warrant that you have all necessary rights to grant this license.

9. Third-Party Services

The Service may include integrations with or links to third-party services. Your use of such services is governed by their respective terms and policies.

We are not responsible for third-party services or their practices.

10. App Store Terms

Apple App Store

If you access the Service through Apple:

These Terms are between you and Cosmo Labs Inc., not Apple
Apple is not responsible for the Service or its content
Apple has no obligation to provide maintenance or support
Apple is a third-party beneficiary of these Terms

You also represent that you are not located in a restricted country or on a prohibited list.

Google Play

If you access the Service through Google Play:

Your use is also subject to Google’s terms
Google is not responsible for the Service
Payments and refunds are handled by Google where applicable

11. Intellectual Property

All intellectual property rights in the Service, excluding user content, are owned by Cosmo Labs Inc. or its licensors and are protected by applicable laws.

12. Privacy

Your use of the Service is subject to our Privacy Policy, which explains how we collect and use personal data.

13. Disclaimers

The Service is provided on an “as is” and “as available” basis without warranties of any kind.

We do not guarantee that the Service will be uninterrupted, secure, or error-free.

14. Limitation of Liability

To the fullest extent permitted by law, Cosmo Labs Inc. shall not be liable for any indirect, incidental, or consequential damages.

Our total liability is limited to the greater of:

The amount you paid in the past 12 months

15. Indemnification

You agree to indemnify and hold harmless Cosmo Labs Inc. from any claims arising out of your use of the Service or violation of these Terms.

16. Termination

We may suspend or terminate your access at any time, with or without notice, for any reason.

17. Governing Law

These Terms are governed by the laws of Canada and applicable provincial laws.

18. General

These Terms constitute the entire agreement between you and Cosmo Labs Inc. and include standard legal provisions such as severability and no waiver.
